Welcome to UdyamERP! These terms and conditions outline the rules and regulations for the use of UdyamERP's Website and Software Services, located at https://www.udyamerp.com/.
By accessing this website and using our ERP services, we assume you accept these terms and conditions. Do not continue to use UdyamERP if you do not agree to all of the terms and conditions stated on this page.
1. Definitions
"Service" refers to the UdyamERP software, including Accounting, Inventory, HRMS, and CRM modules.
"User," "You," and "Your" refers to the individual or business entity using our Service.
"Company," "We," "Our," and "Us" refers to UdyamERP.
2. Use of License
UdyamERP grants you a non-exclusive, non-transferable, limited license to access and use the software for your internal business operations. You agree not to:
Modify, copy, or reverse engineer the software.
Use the Service for any illegal purpose or in violation of Indian laws.
Attempt to bypass any security measures of the Cloud ERP.
3. User Accounts & Responsibility
To use UdyamERP, you must create an account. You are responsible for:
Maintaining the confidentiality of your login credentials.
All activities that occur under your account.
Ensuring that the data entered (GST, Payroll, etc.) is accurate. UdyamERP is a tool for processing; the accuracy of the data remains the user's responsibility.
4. Subscription and Payments
Billing: Services are billed on a subscription basis (Monthly/Quarterly/Yearly).
Renewals: Subscriptions must be renewed on or before the expiry date to avoid service interruption.
Taxes: All fees are exclusive of GST unless otherwise stated.
5. GST Compliance & E-Way Bill JSON
UdyamERP provides tools to generate GSTR-1, GSTR-2 reports, and E-way bill JSON files.
Disclaimer: While our system calculates data based on your inputs, final verification and filing on the Government Portal are the responsibility of the User or their appointed Tax Consultant. UdyamERP is not liable for any penalties incurred due to incorrect data entry or delayed filing by the user.
6. Data Ownership and Backup
Ownership: You retain full ownership of all business data, employee records, and financial information you input into the system.
Data Availability: While we maintain regular cloud backups, we encourage users to periodically export their reports for their own records.
7. Intellectual Property Rights
Unless otherwise stated, UdyamERP and/or its licensors own the intellectual property rights for all material on UdyamERP. All intellectual property rights are reserved.
8. Limitation of Liability
To the maximum extent permitted by applicable Indian law, UdyamERP shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising out of the use or inability to use the Service.
9. Termination of Service
We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms and Conditions. Upon termination, your right to use the Service will cease immediately.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of India. Any disputes arising in relation to these terms shall be subject to the exclusive jurisdiction of the courts in [Insert City, e.g., Surat/Mumbai/Delhi].
11. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of any significant changes via email or through a notification within the software dashboard.
